Terms of Use

These Terms of Use ("Terms") are a legal agreement between you and Receipt Locker LLC ("Receipt Locker," "we," "us," or "our") governing your access to and use of ReceiptLocker.app and related services (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Not tax, accounting, or legal advice. Receipt Locker is a record-keeping tool. Its features — including audit exports and category tagging — help you organize and preserve records, but do not constitute tax, accounting, or legal advice and do not guarantee acceptance by the IRS or any other authority. Consult a qualified professional for advice about your situation.

You must be at least 18 years old and able to form a binding contract to use the Service. By using the Service, you represent that you meet these requirements.

3. Households and shared access

The Service lets you create or join a household and share receipts with its members. When you invite someone to your household, you authorize them to access the receipts and information shared in that household according to their role. You are responsible for who you invite and for the sharing choices you make.

4. Your content

You retain ownership of the receipts and content you upload ("Your Content"). You grant Receipt Locker a limited, non-exclusive, revocable license to host, store, process, display, transmit, and back up Your Content solely to operate and provide the Service to you and your household — including sending receipts to our AI extraction provider to extract their details, as described in our Privacy Policy. You represent that you have the right to upload Your Content and that it does not violate the law or these Terms.

5. Intellectual property

The Service, including its software, design, branding, logos, text, graphics, and other content, is owned by Receipt Locker LLC or its licensors and is protected by intellectual property laws. Except for the limited right to use the Service under these Terms, no rights are granted to you.

If you provide suggestions, ideas, feature requests, or feedback regarding the Service, you grant Receipt Locker the right to use that feedback without restriction, attribution, or compensation.

Some features and usage limits depend on your plan (for example, stored-receipt counts and monthly AI-scan limits on the Free plan). We may enforce these limits and adjust plan features over time.

11. Service availability, suspension, and changes

We work to keep the Service available and durable, but we do not guarantee uninterrupted or error-free operation. We may modify, suspend, discontinue, or temporarily interrupt the Service, including for scheduled maintenance, and we will make reasonable efforts to notify you of material changes. We may also suspend or restrict access to the Service, in whole or in part, including for maintenance, abuse prevention, legal compliance, security incidents, or protection of the Service.

12. Long-term storage and backups

We may create backups and replicated copies of Your Content as part of operating the Service. Although Receipt Locker is designed for long-term storage and durability, no electronic storage system can guarantee perpetual preservation of data. Users should maintain independent copies of records they consider irreplaceable.

13. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or use the Service in a way that creates risk or legal exposure. Following termination, we will handle your data as described in the Privacy Policy. Before closing your account, you should export any receipts or records you wish to retain. We are not responsible for maintaining access after account deletion.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will meet your requirements or that stored records will be error-free.

AI-generated extractions, categorizations, eligibility estimates, and other automated outputs may contain errors. You are responsible for reviewing and verifying all information before relying on it for tax, financial, legal, warranty, insurance, or reimbursement purposes. Automated classifications and eligibility estimates are provided for convenience only.

Receipt Locker is a storage and organizational service. We do not verify the authenticity, legality, completeness, or evidentiary value of receipts or other records uploaded by users.

15. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, RECEIPT LOCKER AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY INTERRUPTION OF BUSINESS, CORRUPTION OR LOSS OF DATA, OR LOSS OF PROFITS OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR USD $100.

Some jurisdictions do not allow certain warranty disclaimers or liability limitations. In those jurisdictions, these limitations apply only to the maximum extent permitted by law.

16. Indemnification

You agree to indemnify and hold harmless Receipt Locker from claims, damages, and expenses arising out of Your Content, your use of the Service, or your violation of these Terms or applicable law.

17. Force majeure

Receipt Locker is not responsible for delays or failures caused by events beyond our reasonable control, including cyberattacks, natural disasters, Internet outages, acts of government, labor disputes, or failures of third-party infrastructure providers.

18. Governing law

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict of laws principles. The exclusive venue for disputes will be the state and federal courts located in Arlington County, Virginia, unless otherwise required by law.

19. Entire agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Receipt Locker regarding the Service.

20. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

21. No waiver

Our failure to enforce any provision is not a waiver of future enforcement.

22. Assignment

Receipt Locker may assign or transfer these Terms in connection with a merger, acquisition, or sale of assets. You may not assign your rights or obligations without our prior written consent.

23. Electronic communications

By using the Service, you consent to receive electronic communications from us relating to your account, billing, security, and operation of the Service.

24. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, notify you. Your continued use of the Service after an update means you accept the revised Terms.
